Intellectual Property Responsibility Agreement

When uploading editorial content in ARC, the Editor must agree to the Intellectual Property Responsibility Agreement. The agreement reads as so:

By checking the box below, I, the Uploader, agree to the following terms and conditions:

Acceptance of Terms By uploading any content (imagery or text) to the platform, I acknowledge and agree that I am bound by this Agreement, which holds me fully responsible for any legal issues related to the Content.
Intellectual Property Rights I represent and warrant that I am the sole owner of the intellectual property rights to the Content, or have obtained all necessary rights, licenses, permissions, and authorizations to upload and use the Content.
Indemnification and Liability I agree to indemnify, defend, and hold harmless Lifestyle Publications, LLC, dba City Lifestyle, its officers, directors, employees, agents, affiliates, and any third parties from any and all claims, damages, or legal actions arising from:

Any violation of intellectual property rights associated with the Content;
Any failure to secure necessary rights, licenses, or permissions for the Content;
Any breach of the representations and warranties in this Agreement.

No Liability for the Company I understand that City Lifestyle is not responsible for any legal claims arising from my uploaded Content, and I accept full responsibility for the legality of my Content.
Termination of Rights I acknowledge that City Lifestyle may remove or suspend my Content without notice if there is any violation of these terms. Repeated violations may result in permanent removal from the platform.
Governing Law This Agreement shall be governed by the State of Missouri, except to the extent that federal law preempts Missouri law.
